Lead Manager of Shareholder Governance

This position allows for flexible mobile working arrangements.
Your responsibilities include:
- Developing the Shareholder Governance framework, including organizational structure, processes, and applications in collaboration with the head of Shareholder Controlling and relevant functions.
- Identifying external service providers to assist the corporate team with tax, legal, accounting, and financing inquiries.
- Executing shareholder governance for all Innomotics subsidiaries globally, fulfilling the rights and obligations of your legal ownership role.
- Managing the capitalization of subsidiaries through equity, debt, or local financing options, and implementing a suitable dividend policy.
- Serving as a consultant and primary contact for Innomotics companies, particularly for managing directors and heads of accounting regarding Shareholder Governance matters.
- Driving and optimizing the legal and tax structure to enhance the Innomotics entity portfolio while ensuring compliance with statutory and regulatory requirements.
- Leading projects related to shareholder transactions, including liquidation, foundation, and optimization activities.
- Monitoring and mitigating potential equity, currency, and country risks in collaboration with relevant departments.
- Providing accurate and timely reports to management.
- A Bachelor’s or Master’s degree, or PhD in Business, Finance, Accounting, or a related field.
- A minimum of 5 years of experience in Shareholder Governance, Finance, Accounting, Controlling, or Audit.
- Strong knowledge of accounting principles (Local GAAP/HGB/IFRS), company and tax law, and financing topics.
- Excellent networking, collaboration, and communication skills to manage numerous internal and external contacts effectively.
- Experience working internationally and an understanding of diverse cultures is advantageous.
- Fluency in German and English; additional languages are a plus.
