Unser Mandant ist ein kleines, schlagkräftiges Investment Office, das aus vier erfahrenen Unternehmern besteht und seinen Sitz im Herzen Münchens hat. Das Team investiert weltweit in wachstumsstarke Tech-Unternehmen mit Fokus auf Europa und die USA.

Für den langfristigen Unternehmenserfolg sind ein verlässliches und präzises Corporate Housekeeping sowie ein kommerziell denkender Sparringspartner für rechtliche Transaktions- und Beteiligungsthemen essenziell. In dieser Schlüsselrolle verantwortest du sämtliche rechtlichen Fragestellungen und Prozesse als zentrale Anlaufstelle im Team.

Du bringst Erfahrung im Corporate Housekeeping und in der rechtlichen Verwaltung zahlreicher Beteiligungen mit. Du bewegst dich auf Augenhöhe mit Gründern, Anwälten und Investoren und suchst ein Umfeld, in dem deine Einschätzungen zählen und du das Wachstum aktiv begleiten kannst.

Deine Mission
Du stellst sicher, dass alle rechtlichen Prozesse und die Dokumentation im Investment- und Beteiligungsmanagement reibungslos funktionieren. Deine präzise und vorausschauende Arbeitsweise ermöglicht es den Partnern unseres Kunden, sich auf die wesentlichen Entscheidungen rund um Investments zu konzentrieren.

Das Kannst Du Bewirken

  • Corporate Housekeeping & Compliance: Du hältst die gesamte rechtliche Dokumentation über Beteiligungen und Gesellschaftsstrukturen aktuell, sorgst für ein transparentes Fristenmanagement und gewährleistest zuverlässige Compliance.
  • Schnittstelle & Koordination: Du bist Bindeglied zwischen Steuerberatern, externen Anwälten und internen Stakeholdern. Du koordinierst verlässlich Dokumente sowie Informationen und behältst dabei Kosten und Timings im Blick.
  • Prüfung und Analyse von Transaktionen & Execution: Du unterstützt unseren Mandanten bei der Prüfung von Transaktionen – vom Term Sheet über das Closing bis hin zu Follow-On-Runden – und übernimmst rechtliche Aufgaben bei bestehenden Beteiligungen. Auch die Einschätzung kommerzieller Auswirkungen von Verträgen sowie die Vorbereitung von Entscheidungsvorlagen gehören dazu.

Das Wünscht Sich Unser Kunde

  • Abgeschlossenes Studium der Rechtswissenschaften oder des Wirtschaftsrechts (z.B. Dipl. Wirtschaftsjurist, Master/Bachelor of Laws oder vergleichbar)
  • Kenntnisse im Gesellschaftsrecht und im Transaktionsumfeld, idealerweise erste Erfahrung im US-Corporate-Law
  • Sicherer Umgang mit Shareholder Agreements, Kapitalmaßnahmen, Cap Tables und Waterfalls
  • Verhandlungssicheres Englisch
  • Sicherer Umgang mit MS Office und Google Workspace sowie Offenheit für digitale Tools
  • Hohes Maß an Sorgfalt und Vertrauenswürdigkeit im Umgang mit sensiblen Informationen
  • Eigenständige, strukturierte Arbeitsweise mit unternehmerischem Weitblick
  • Interesse an einer sehr langfristigen Zusammenarbeit in einem kleinen, international agierenden Team
