Senior Legal Counsel M&A (m/f/d) – MunichLocation: Munich, Germany Position: Senior Legal Counsel Mergers & Acquisitions Employment Type: Full-time, PermanentAbout the RoleOur client, a leading international company, is seeking a Senior Legal Counsel M&A to join its Munich-based legal team. In this high-impact role, you will advise on complex international transactions and strategic projects, working closely with senior management, corporate development, and external advisors.Key ResponsibilitiesLead and manage legal aspects of M&A transactions, joint ventures, and other strategic investments.Draft, review, and negotiate transaction documentation including SPAs, shareholder agreements, NDAs, and term sheets.Support post-merger integration and restructuring activities.Advise on corporate law, governance, and compliance topics relating to M&A and group structure.Liaise with external counsel and coordinate cross-border legal teams.Provide proactive, business-oriented legal advice to internal stakeholders.RequirementsFully qualified lawyer (2nd German State Exam) with excellent academic credentials.Minimum 6+ years of professional experience in M&A, ideally gained within a leading law firm and/or international in-house legal department.Strong understanding of corporate and transaction law in Germany and internationally.Fluency in German and English (both written and spoken).Excellent communication, negotiation, and stakeholder management skills.A pragmatic, solution-oriented mindset and ability to work effectively in a global, fast-paced environment.The OfferWork in an international, innovative environment with a strong deal pipeline.Opportunity to take ownership of strategic transactions and advise senior leadership.Competitive compensation package and flexible working arrangements.Collaborative, supportive legal team with flat hierarchies.
