About the Role

We are seeking a highly skilled and experienced Legal & Corporate Officer to join our team in Luxembourg. The successful candidate will be responsible for providing support to our corporate clients, including preparing documents, collecting signatures, and filing with the relevant authorities.

The ideal candidate will have a strong background in law or business administration, with a minimum of 2-3 years of experience in a corporate or AML compliance department. They will be fluent in English and French, with German being an asset.

The successful candidate will be responsible for:

  • Preparing documents in relation to client Board Meetings, including collecting signatures and filing with the relevant authorities.
  • Providing support for the convening of Board sessions, including collecting, revising, and distributing materials.
  • Preparing meeting minutes and safeguarding the minutes of the Board.
  • Following up on the agreements of the Board.
  • Preparing documents in relation to the approval of annual accounts, including collecting signatures and filing with the relevant authorities.
  • Managing the shareholders' register, including bearer or registered shares.
  • Preparing extraordinary General Meetings.
  • Ensuring all company records and statutory registers are properly maintained and updated on a timely basis.
