Das Team für Wettbewerbs- und Handelsrecht ist verantwortlich für die wettbewerbs- und handelsrechtlichen Angelegenheiten von Delivery Hero weltweit und deckt die über 60 Jurisdiktionen ab, in denen wir tätig sind. Wir sind von Anfang an bei spannenden M&A-Transaktionen involviert, entwickeln Strategien im Zusammenhang mit Wettbewerbsuntersuchungen und fördern die Compliance-Bemühungen in Bezug auf Wettbewerbs- und Sanktionsgesetze innerhalb der Gruppe. Wir sind ein dynamisches Team, das regelmäßig mit neuartigen Fragen konfrontiert wird und innovative Lösungen entwickelt, um sowohl rechtliche Risiken als auch geschäftliche Bedürfnisse zu adressieren.
- Überwachung und Beratung zu allen Aspekten des Wettbewerbsrechts im Kontext der globalen Aktivitäten von Delivery Hero, einschließlich Fusionskontrolle, Wettbewerbsuntersuchungen und kommerziellen Vereinbarungen in über 60 Jurisdiktionen;
- Praktische Beratung zur Strukturierung und zu den Risiken potenzieller M&A-Transaktionen, einschließlich der Durchführung von fusionskontroll- und ausländischen Direktinvestitionsprüfungen, Beratung zu Due-Diligence-Prozessen, Vertragsklauseln sowie Prozessen der Post-Merger-Integration und Überwachung der Einreichungsverfahren;
- Leitung von Wettbewerbsuntersuchungen, einschließlich der Entwicklung von Strategien und der Aktualisierung des oberen Managements über diese Untersuchungen;
- Anleitung lokaler Rechtsteams zu einer Vielzahl von wettbewerbsrechtlichen Angelegenheiten, einschließlich Untersuchungen und Compliance-Fragen in unseren Jurisdiktionen sowie Entwicklung von Best Practices;
- Beratung zu internationalem Handelsrecht, insbesondere zu Risikominderungsstrategien im Zusammenhang mit EU- und US-Sanktionsgesetzen;
- Entwicklung Ihrer Führungsfähigkeiten durch die Leitung strategischer Projekte;
- Koordination und Verhandlung von Bedingungen mit externen Anwälten; und
- Eintauchen in ein dynamisches Arbeitsumfeld, das neuartige rechtliche Fragen behandelt und innovative Lösungen entwickelt, die geschäftliche Bedürfnisse mit rechtlichen Risiken in Einklang bringen.
Qualifikationen
- Erfahrung: Sie verfügen über mehr als 8 Jahre Berufserfahrung nach der Zulassung in angesehenen internationalen Kanzleien und in internen Positionen mit Schwerpunkt auf Wettbewerbs- und Handelsrecht. Erfahrung in der Beratung von Plattformen oder Technologieunternehmen ist von Vorteil.
- Fachwissen: Sie sind ein Experte im EU-Wettbewerbsrecht und in der Lage, zu allen wesentlichen und verfahrensrechtlichen Aspekten, einschließlich Fusionskontrolle, vertikalen Beschränkungen, Kartelluntersuchungen und Plattformregulierungen, zu beraten. Sie sind auch mit ausländischen Direktinvestitionsregimen, der Verordnung über ausländische Subventionen sowie den Exportkontroll- und Sanktionsgesetzen der USA und der EU vertraut.
- Globale Perspektive: Sie haben Erfahrung mit Wettbewerbs- und ausländischen Direktinvestitionsregimen in mehreren Jurisdiktionen.
- Kommunikationsfähigkeiten: Sie sind ein ausgezeichneter Kommunikator, der in der Lage ist, pragmatische Ratschläge an Geschäftsteams und Führungskräfte zu geben. Sie können geschäftliche Bedürfnisse priorisieren und gleichzeitig rechtliche Risiken abwägen.
- Führung: Sie haben eine nachweisliche Erfolgsbilanz in der Leitung von Teams bei Projekten und der effektiven Führung von weniger erfahrenen Juristen.
- Sprachkenntnisse: Sie sind vollständig in Englisch versiert. Kenntnisse in Deutsch oder anderen Sprachen sind von Vorteil, aber keine Voraussetzung.
