Our Company Secretary services play a vital role in supporting our clients' needs. As a member of this team, you will serve as an important link between junior staff, management, and our clients. You will have the opportunity to enhance your career within the funds industry, expand your relationship management skills, build expertise in directing and mentoring staff, and serve as a quality reviewer on work prior to submissions to senior managers.
**Key Responsibilities:**
- Interact with clients, board members, third-party intermediaries such as banks, lawyers, accountants, and tax advisors via written or telephone communication.
- Oversee various company secretarial transactions, including preparation and/or review of necessary corporate approvals, Companies House filings, statutory registers updates, etc.
- Manage day-to-day company secretarial operations of entities.
- Monitor changes in relevant legislation and regulatory environments and take appropriate action.
- Train junior staff, delegate tasks, organize planning, and review work.
- Collaborate on setup and/or on-boarding of client structures and administer complex international structures.
- Prepare for and attend board and shareholders' meetings, document, draft, and/or review minutes and actions agreed upon.
- Maintain statutory records for entities and ensure annual and ad-hoc filing requirements are met.
- Proactively arrange regular reviews (healthchecks) of entities' records.
- Proactively collaborate between Co-Sec and Accounting teams as well as other Alter Domus offices, focusing on client service delivery.
- Assist with Know Your Customer/Client Due Diligence and promoter/corporate files preparation, collation, and ongoing monitoring.
- Ensure internal processes are followed, and logs/tracker updates are made.
**Your Profile:**
- Hold a relevant professional qualification or be working towards one (an asset but not a requirement).
- 3 years or more of relevant experience (company secretarial and managing corporate structures of a similar nature).
- Prior Diligent Board experience highly desired.
- Strong knowledge of compliance requirements and AML regulations.
- Possess team spirit, capacity to build strong client relationships, and take initiative to act without waiting for direction when appropriate.
- Flexible and hands-on approach.
- Organized with an eye for detail.
- Able to prioritize and handle multiple projects simultaneously (essential).
**Compensation:** We offer a competitive salary of €60,000 per annum, based on market rates and taking into account the location and industry standards.
