Legal Corporate Secretary

We are looking for the Vice President Legal Corporate Secretary (gn) for a global top 15 Corporate Bank that is establishing its EU headquarters in Frankfurt.


Tasks:

  • Manage the complete annual calendar of the bank operating as a German stock corporation in compliance with relevant regulations such as AktG, HGB, KWG and IVV.
  • Coordinate meetings for the Board of Directors, Supervisory Board and shareholders.
  • Drafting agendas under the guidance of the Chairman and facilitating the pre-consultation process.
  • Attending and taking minutes at meetings of the Board of Directors and the Supervisory Board.
  • Liaising with relevant stakeholders to implement decisions taken by the Board of Directors and the Supervisory Board.
  • Planning and organising annual training and induction programmes for members of the Board and the Supervisory Board.
  • Assisting the Supervisory Board in the performance evaluation of the members of the Executive Committee.
  • Interacting with regulatory authorities (BaFin/Bundesbank) and submitting regulatory reports.
  • Responding to requests for information from various stakeholders, including regulators and auditors.
  • Coordinate communication between the Bank's governing bodies and regulators at the branch level.
  • Ensure compliance with corporate formalities, including corporate filings such as company registrations and financial statements.
  • Liaise with branch teams and local stakeholders in host countries on corporate governance matters.
  • Oversee external notaries, lawyers and consultants as required.
  • Provide legal advice to senior management, business units and infrastructure functions, with a focus on corporate governance, in collaboration with the Bank's General Counsel.
  • Representing the Bank in industry working groups and representing the Bank's interests in consultations.


Requirements:

  • Legal education, preferably with a 2nd state law examination; alternatively with a 1st state law examination or an appropriate degree in business law (e.g. Wirtschaftsjurist).
  • Previous experience in the financial sector, in particular in banking, with a focus on corporate governance is an advantage.
  • Proficiency in Microsoft Excel, Word and PowerPoint.
  • Excellent business English is essential, as are strong conceptual, communication and organisational skills.
  • Ability to ensure the effective implementation of decisions taken by the Board of Directors and the Supervisory Board.
  • Proven ability to work smoothly with senior management and stakeholders at different levels of the organisation and across different cultures.
  • Experience in dealing with corporate and regulatory issues.
