Your Responsibilities
- Lead critical business projects from a legal and governance standpoint, including compliance with GDPR, Data Protection Officer duties, and oversight of product and security legislation. Manage the Holdings Contract Register, key contracts, framework agreements, and supplier contracts across the organization.
- Provide comprehensive Company Secretarial services, participating in Board and Committee Meetings, ensuring adherence to governance best practices and maintaining necessary documentation standards.
- Oversee the organization’s legal risk management, ensuring compliance with EU and international legal standards and corporate governance requirements.
- Act as a strategic partner to the CEO, aiding in significant business decisions and negotiations to secure optimal outcomes for the organization. This role demands a balance between risk management and commercial interests, acting as a facilitator for business objectives while understanding associated risks.
- Collaborate closely with the CEO, executive team, and regional management on all legal and governance matters, ensuring the provision of high-quality legal support.
- Deliver expert legal counsel and insights in a commercially viable manner, either directly through personal contributions or indirectly via in-house teams and external legal advisors.
- Demonstrate a proven history of leading compliance functions within an international organization and successfully advising on ethical and compliance issues at senior levels.
- Maintain current knowledge of existing and emerging laws, standards, and regulations, along with ethics and compliance monitoring practices.
- Engage with investors regarding refinancing and readiness for exit strategies.
- Responsible for selecting and managing external legal advisors, ensuring cost-effective management of legal services.
- Exhibit experience in the defense and management of Intellectual Property (IP) and Internal Control Standards.
Your Qualifications
- Proven experience as a Legal Director and Company Secretary, with a successful track record in a high-pressure, results-oriented environment; experience in private equity is advantageous.
- While experience in contract services within B2B and B2C sectors is beneficial, candidates from other relevant B2B backgrounds will also be considered, particularly those with a history of operating in international, dynamic settings.
- Hands-on experience across a wide array of legal, governance, and regulatory/risk issues.
- Significant corporate governance experience and a demonstrated track record as a Company Secretary are highly desirable.
- International experience with an understanding of cultural nuances across European markets.
- Proven ability to assess, enhance, and develop a legal function and framework to support a dynamic business environment.
- Strong history of selecting, managing, and effectively engaging with external legal resources in a cost-efficient manner.
