**About the Role**:
In-house commercial lawyer providing advice to ICE on a range of commercial and legal matters to support the business, and where needed supporting with general commercial contracts.
**This is a temporary part-time (20-25h/week) position due to maternity leave until April 2024.**
**Key Responsibilities**:
- Conduct commercial negotiations and draft commercial agreements including service level agreements with rightsholder customers (music collecting societies and music publishers), supplier agreements, NDAs, and other commercial contracts.
- Assist in providing legal advice to the business in respect of commercial matters, including insourced services, intellectual property ownership and access, confidentiality, data protection, and other commercial contractual matters.
- Engage with business experts within the organisation to ensure contracts and commercial agreements are delivered and effectively represent the functions and objectives of the organisation.
- Support the business and People & Culture team with labour law issues and assist in managing and assessing employment risks.
- Responsibility for the development and maintenance of company policies.
- Ensure business compliance with company policies including business separation, collective rights management directive, and data protection legislation.
- Advising the business on the scope of rights controlled by ICE and on dealings with customers from whom ICE are mandated in respect of those rights.
- Advising the business on copyright issues and, to a lesser extent, other types of intellectual property (e.g. trademarks).
- Instructing and liaising on contentious and non-contentious matters with external counsel including seeking out and managing relationships as appropriate.
- Monitor and keep abreast of relevant legal developments in the UK, Germany and internationally, and where appropriate, provide updates / training to the business.
**Requirements and Qualifications**:
- Degree level qualification (equal to 2:1 UK degree), 2-5yrs working in a legal environment with relevant commercial experience.
- Strong Microsoft Office and other IT skills.
- Excellent at communicating in spoken and written English.
- Good working knowledge of copyright and drafting commercial contracts, basic knowledge of UK and EU competition law.
- Experience gained in-house and/or in private practice of advising on IP, commercial, data and confidentiality.
- Strong understanding of commercial and business principles, with the ability to influence and build peer relationships externally and internally.
**Desirable**
- Experience of working in the music industry, particularly online exploitation of rights, copyright, licence agreements, confidentiality, and data protection.
- German language skills is a plus.
