**Legal Counsel (m/w/d)**

**Deine Rolle bei Companisto**:
**In gemeinsamer Abstimmung mit unserem Senior Legal Counsel übernimmst Du**:

- Vertragsverhandlungen: Du bist verantwortlich für die eigenständige Erstellung der Beteiligungsverträge in unseren Finanzierungsrunden und verhandelst diese mit den Startups.
- Due Diligence: Zusammen mit unserer Investment Unit führst du die Due Diligence bei unseren Startups durch.
- Gesellschafterbeschlüsse: Du vertrittst die Interessen unserer Investoren bei der Vorbereitung und Umsetzung von Gesellschafterbeschlüssen unserer Startups.
- Kapitalmarktrecht: Du erstellst die kapitalmarktrechtlichen Dokumente für die Finanzierungsrunden (z.B. Basisinformationsblätter und Wertpapierinformationsblätter), wobei du auf bewährte Vorlagen zurückgreifen kannst.
- Beirat: Perspektivisch wirst du bei einigen unserer Beteiligungen als Beiratsmitglied eingesetzt.
- Beteiligungsmodell: Du entwickelst mit uns zusammen unser Beteiligungsmodell weiter und baust so unsere Innovationsführerschaft aus.
- Neue Geschäftsmodelle: Du entwickelst und implementierst neue Geschäftsmodelle. Wir haben hier bereits einiges in der Pipeline und du kannst natürlich auch eigene Ideen einbringen.
- Rechtliche Vertretung: Du vertrittst uns bei rechtlichen Angelegenheiten und koordinierst dich mit unseren externen Rechtsberatern und Aufsichtsbehörden.

**Das bringst du mit**:

- Mindestens 3 Jahre Erfahrung als Rechtsanwalt oder Legal Counsel im Venture Capital Bereich oder im Gesellschaftsrecht.
- Du hast ein ausgeprägtes unternehmerisches Mindset. Rechtliche Herausforderungen löst du pragmatisch und mit einem unternehmerischen Ansatz.
- Du hast nachweisbare Erfahrung in der Verhandlung von Verträgen und kannst unsere Positionen mit taktischem Geschick und Fingerspitzengefühl durchsetzen.
- Du hast keine Furcht neue Ideen vorzuschlagen und auszuprobieren. Du liebst es agil zu handeln.
- Vorerfahrungen im Kapitalmarktrecht sind von Vorteil.
- Flüssiges Deutsch und Englisch sind eine Voraussetzung.
