**Unsere Erwartungen an Sie**:
- Ihre erstklassigen juristischen Fähigkeiten haben Sie durch überdurchschnittliche Examina sowie einen LL.M. und/oder eine Promotion unter Beweis gestellt
- Sie haben großes Interesse für wirtschaftliche Zusammenhänge und begeistern sich für aktien
- und kapitalmarktrechtliche Fragestellungen
- Ihr Englisch ist verhandlungssicher in Wort und Schrift
- Sie haben Freude an der Arbeit in internationalen Teams
**Ihre Aufgabenschwerpunkte**:
- Beratung bei Kapitalmarkttransaktionen, z.B. Kapitalerhöhungen und Aktienplatzierungen, Umplatzierungen, Börsengängen und Börsenzulassungen
- Beratung bei Strukturmaßnahmen, Umwandlungen und Squeeze-outs
- Begleitung von börsennotierten und nicht börsennotierten Aktiengesellschaften und SEs bei der Vorbereitung und Durchführung von Hauptversammlungen
- Beratung bei öffentlichen Übernahmen und M&A-Transaktionen
- Rechtliche und strategische Beratung von Organen börsennotierter Unternehmen, IPO-Kandidaten sowie Banken und Investoren
- Beratung bei Anleiheemissionen
- Beratung bei der Strukturierung und Implementierung von aktienbasierten Vergütungsprogrammen und Aktienoptionsprogrammen
