**JOB SUMMARY**:
The Data Protection Officer / Commercial Counsel shall, in the performance of his/her duties, take due account of the risks associated with the processing operations involving personal data, taking into account the nature, scope, circumstances and purposes of the processing of personal data, in order to ensure compliance of the company and its affiliates with the applicable data protection regulations, especially including, but not limiting to EU-General Data Protection Regulation (“GDPR”) and Federal Data Protection Act (“FDPA”).Moreover, this function administers and supports the contract review, training, and contract management system implemented at the company and its affiliates, thereby being accountable also for regular legal tasks.

**KEY RESPONSIBILITIES**:
1. Compliance Management:

- Develop, implement, and maintain effective data protection policies, procedures, and guidelines based on existing laws and regulations such as GDPR, CCPA, and others applicable to a global organization with sites in Europe, America and APAC.
- Conduct regular audits to ensure compliance and identify potential privacy risks, providing reports and recommendations to management.
- Collaborate with the company’s global cross-functional teams to ensure the implementation of privacy-related controls and practices in alignment with regulatory requirements.

2. Privacy Impact Assessments (PIA):

- Conduct privacy impact assessments on existing and future initiatives, projects, or systems to identify potential privacy risks and recommend appropriate measures mitigating those risks.
- Advise and provide guidance to data owners and project teams on privacy considerations

3. Document / Contract Review and negotiation:

- Conduct thorough reviews and negotiations of a wide range of contracts and other documents, including data privacy-related documents, such as privacy notices, consent forms, data processing agreements, contracts, and vendor agreements, to ensure compliance with applicable data protection regulations.
- Review a variety of contracts, such as service agreement, material transfer agreements, license agreements, etc..
- Collaborate with legal, the compliance team and other internal steakholders to provide recommendations and modifications to ensure contracts are compliant and alligned with the companies strategic objectives.
- Advise and guide stakeholders on data privacy clauses and contractual obligations during negotiations with third parties and vendors.

4. Training and Awareness:

- Develop and deliver data privacy training programs and awareness initiatives to educate employees on privacy requirements, data handling best practices, and their role in safeguarding personal information.
- Stay updated with emerging privacy trends, technologies, and legislations, and proactively communicate changes or updates to the organization.
- Assist in developing and maintaining a culture of privacy by promoting awareness and best practices across all levels of the organization.

5. Incident Response and Breach Management:

- Establish and maintain an incident response plan for potential data breaches or privacy incidents, ensuring swift and effective response, containment, investigation, and reporting.
- Collaborate with IT security, legal, and communication teams to manage and mitigate the impact of security incidents or breaches.

6. Legal Advisory and Compliance:

- Provide expert legal counsel and guidance to the corporation, ensuring that all business activities and transactions are conducted in compliance with relevant laws and regulations. Leverage your 3 years of experience to proactively identify and mitigate legal risks while fostering a culture of legal compliance within the organization.

7. Corporate Governance Oversight:

- Maintain and enhance the corporation's corporate governance framework under the instruction of the supervisor. Ensure compliance with governance best practices, assist in the preparation of board materials, and support the board of directors in fulfilling their duties.
