**About PharmaZell-Novasep Group**:
The globally operating PharmaZell-Novasep Group is a strongly growing medium-sized manufacturer of complex active pharmaceutical ingredients (APIs) headquartered in Raubling (Bavaria, Germany) and Lyon (France). This merger will create a leading technology driven CDMO and API manufacturer focused on small molecules and ADCs.

The company's goal is to create a leading platform in the attractive API manufacturing market segment, which will benefit from a complementary portfolio of specialized technologies and a diversified base of blue-chip pharma and biotech customers. Thus, the newly combined PharmaZell-Novesep Group will become the go-to partner for complex small molecules in the future, as the company will be able to offer customers an integrated, simplified and efficient solution approach along the entire life cycle of a drug.

The PharmaZell-Novasep Group now consists of the three business units: CDMO, Steroid and HPAPI generics and Specialty Generics. The combined company serves its clients with an unparalleled array of technologies.

The group has longstanding relationships with most top pharma companies, as well as with a number of biotechs and speciality pharma companies.

**Mission**:
You will provide transactional support to the business in an international setting and help manage legal and compliance risks across the Group. Your main focus will be on client and supply agreements for the CDMO business.

**Main Tasks**:

- Negotiation, drafting and monitoring of contracts, predominantly in English, related to the Group's activity (development of processes, manufacture of active pharmaceutical ingredients and intermediaries, customer contracts, outsourcing and other supply arrangements, capital investments, partnership or collaboration agreements, agent and distributor contracts, license agreements, etc.);
- Advisory role and support to operational staff at all levels (up to BU President) on local and international legal issues and the interpretation of contractual documents;
- Manage with the help of external counsel pre-litigation and litigation with suppliers, customers or other partners;
- In relation with cross-functional teams, participation in M&A transactions and other strategic projects;
- Training of operational teams and management on legal and compliance issues (anti-corruption, data privacy, export controls, conflicts of interest, etc.);
- Drafting and management of standard templates and procedures as well as oversight of Group contracts database;
- You will work closely with external lawyers and various departments in France, Germany and abroad.

**Qualifications**:

- A post-graduate law degree in business law (Master’s degree, LLM, J.D.)
- At least 5 years of professional experience in a comparable position in the field of contract manufacturing and/or pharmaceuticals and/or chemicals;
- Excellent English language skills, French/Italian/German would be a major plus;
- Team player with the willingness to always move forward proactively;
- High level of commitment, analytical and entrepreneurial thinking and the ability to work on a wide variety of high-priority topics in parallel;
- Excellent communication and negotiation skills and strong ability to adjust to and succeed in different cultures;
- Willingness to work on complex international projects and expand experience in the Life Science industry.
