M&A Carve-Out Project Manager

We are Uniper, a leading company in the energy sector, and we are looking for a highly skilled M&A Carve-Out Project Manager to join our team in Düsseldorf.
As an M&A Carve-Out Project Manager, you will be responsible for leading complex carve-out projects as part of M&A transactions. You will report to the respective M&A project lead and prepare detailed project plans, including target operating models and carve-out reports. You will also conduct progress supervision and collaborate closely with internal teams, such as Operations, Legal, Finance, Tax, and IT, to ensure smooth separation processes.
Additionally, you will work with external advisors, such as carve-out advisors, law firms, and tax advisors, to ensure successful transaction execution. You will also conduct TSA negotiations with buyers and other stakeholders.
To be successful in this role, you will need to have a university degree in a relevant field, such as Finance, Business Administration, Economics, or Engineering, with outstanding academic results. You will also need to have proven experience in M&A related carve-outs, ideally within advisory roles, and prior experience in the energy sector is highly desirable.
You will need to have a strong conceptual and analytical mind, with the ability to simultaneously consider a multitude of different variables. You will also need to have high self-motivation and initiative, with the ability to independently manage carve-out projects under tight deadlines and high pressure.
Excellent interpersonal and communication skills are essential, with the ability to work effectively within cross-functional teams and build strong relationships across the Uniper Group. You will also need to be a hard-working, well-organized, and open-minded individual, with a willingness to travel.
