Legal Counsel

We are seeking a highly skilled and experienced Legal Counsel to join our team at Sanoptis AG. As a key member of our organization, you will provide legal guidance and support to our management team, ensuring that our business operations are compliant with all relevant laws and regulations.
Key Responsibilities- Provide day-to-day legal advice to the management team on a wide range of issues, including labor law, medical law, patient rights, and regulatory questions related to the laws governing statutory and private health insurance physicians.
- Work closely with the M&A team and other departments to provide integrated legal support during acquisitions.
- Manage and consult with international and local law firms on various legal matters, ensuring superior service delivery on a timely and cost-effective basis.
- Support the M&A team and manage the legal aspects of M&A transactions, including due diligence, contract discussions, and post-merger integration.
- Draft, review, and negotiate acquisition agreements together with members of the M&A team.
- Liaise with external legal advisors to ensure compliance with relevant legal and regulatory requirements.
- Master's degree in law or fully qualified lawyer with a degree in law and/or admission to the bar in Germany, Switzerland, or another relevant jurisdiction.
- 3 to 5 years of professional experience as a legal counsel, preferably within a corporate environment or law firm.
- Experience in handling M&A transactions from start to finish, including due diligence, contract negotiation, and post-transaction integration.
- Prior experience in the healthcare sector or with healthcare-related legal issues is a plus.
- Ability to analyze legal risks and provide strategic advice to mitigate them effectively.
- Ability to explain complex concepts clearly and succinctly to those without a legal background.
- Proactive and pragmatic approach to identifying issues and developing solutions in a fast-paced environment with a growth-focused, private equity-backed business model.
- Entrepreneurial mindset, aligning legal strategies with business objectives to contribute to Sanoptis' success.
- Fluency in German and English, both written and spoken, is essential.
