M&A Contract Manager

About the Role

We are seeking a highly skilled M&A Contract Manager to join our team at Siemens AG. As a key member of our M&A team, you will be responsible for managing post-closing contractual rights and obligations in all global M&A transactions.

Key Responsibilities
  • Follow up on open issues from M&A contracts to ensure timely resolution and minimize risks.
  • Provide feedback to the legal department, negotiation teams, and operating units on lessons learned from M&A transactions.
  • Monitor adherence to material conditions in M&A contracts, including purchase price adjustment rules, representations, and warranties.
  • Assert Siemens' claims and reject unjustified claims of contractual partners in leading negotiations.
  • Support expert, arbitration, and court proceedings related to M&A transactions.
  • Manage all opportunities and risks relating to an M&A contract, including mandatory reporting.
  • Operate as CoC for M&A closing matters, particularly regarding contract, risk, and claim management.
  • Conduct compliance checks and compliance due diligence, including data room screening and expert meetings.
  • Support advising, negotiating, and implementing strategic alliances related to M&A transactions.
Requirements
  • University degree in Business Studies, Law, or a comparable field.
  • Minimum 5 years of experience in international business and project management/project controlling, with profound negotiation experience.
  • Training and/or experience in dealing with legal matters, understanding legal terms, and processing claims and indemnities from contracts.
  • Experience in leading teams of internal and external professionals to deliver results and solve complex problems.
  • Ability to analyze, creativity, and focus on results.
  • Excellent MS Office skills and ability to communicate complex problems through concise presentations.
  • Excellent English skills, with German skills a plus.
