Job Title: Senior Legal Counsel

About the Role:

We are seeking a highly experienced and skilled Senior Legal Counsel to join our legal team at Selby Jennings. As a key member of our team, you will provide high-level legal support across a range of functions, including Mergers & Acquisitions (M&A), licensing, data protection, regulatory compliance, intellectual property (IP), and commercial contracts.

Key Responsibilities:

  • Corporate Governance & M&A: Lead legal aspects of corporate transactions, including mergers, acquisitions, joint ventures, and divestitures. Provide strategic advice on structuring deals and managing legal due diligence.
  • Contracts & Licensing: Draft, review, and negotiate a variety of commercial contracts, including supply agreements, collaboration agreements, out- and in-licensing agreements, and distribution agreements. Ensure alignment with business objectives and mitigate risks.
  • Regulatory Compliance: Advise the business on global pharmaceutical regulations, including market access, competition law, and product approval processes. Ensure compliance with local and international legal frameworks, including Good Manufacturing Practice (GMP) and FDA/EU regulations.
  • Data Protection & Privacy: Manage legal aspects of data protection and privacy (GDPR compliance), including data sharing agreements and cybersecurity issues. Work closely with the internal Data Protection Officer to ensure compliance with global data privacy laws.
  • Intellectual Property: Provide legal advice on IP matters, including patents, trademarks, and copyright. Work closely with IP attorneys to protect and maximize the value of the company's intellectual property portfolio.
  • Risk Management: Identify potential legal risks and offer proactive solutions. Collaborate with internal teams to develop and implement risk management strategies aligned with the company's risk tolerance.
  • Stakeholder Engagement: Build strong relationships with internal business units and external stakeholders. Act as a trusted advisor to senior management, offering insights into legal implications of business decisions and strategies.
  • Dispute Resolution: Lead legal support in any litigation, arbitration, or other dispute resolution processes. Collaborate with external counsel when necessary.
  • Training & Development: Conduct training sessions for internal teams on relevant legal and compliance matters, including contract management, regulatory updates, and compliance best practices.

Qualifications:

  • Education:
  • Fully qualified lawyer (Volljurist or equivalent) with a degree in law from a reputable university.
  • LLM or relevant postgraduate degree from an international institution is highly desirable.
  • Experience:
  • Minimum of 8-10 years of post-qualification experience in a law firm or in-house legal role, preferably within the pharmaceutical or life sciences industry.
  • Proven experience in M&A, licensing, IP, and regulatory matters is essential.
  • Skills & Competencies:
  • Strong knowledge of international pharmaceutical regulations and commercial law.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work cross-functionally and manage multiple stakeholders in a fast-paced environment.
  • High level of integrity, professionalism, and attention to detail.
  • Fluency in English (both written and spoken) is required; additional language skills are a plus.
