Position Overview: The Legal Counsel for Corporate Development is a vital role within Elanco's global legal framework, collaborating closely with senior executives and Business Development teams worldwide, particularly in the Europe and Asia Pacific regions. This position encompasses support for both domestic and international mergers and acquisitions, intricate licensing and distribution agreements, and associated transactions.
Key Responsibilities:
• Collaborate with business development leadership and other stakeholders to effectively manage asset divestitures, strategic alliances, and various corporate transactions, ensuring alignment with business objectives and appropriate legal risk management.
• As an integral member of a cross-functional deal team, engage in legal due diligence, formulate and negotiate essential deal terms, draft asset purchase and other agreements of varying complexities, ensure adherence to regulatory and other standards, and oversee post-closing integration and related activities.
• Utilize thought leadership and external networks to facilitate training and professional development initiatives for Elanco's global legal and business development teams, ensuring ongoing awareness of significant developments in corporate and transactional law.
• Assist in the selection and engagement of external legal counsel to provide essential support on complex legal, regulatory, and business matters.
• Partner with other legal and business team members to devise business solutions that mitigate risks to Elanco, enhance service levels, and reduce reliance on external counsel where feasible.
• Apply legal expertise and business insight to support Elanco in achieving its strategic goals.
• Identify opportunities for process enhancements within the business and promote continuous improvement across corporate law, global legal teams, and the business development organization.
Essential Qualifications:
• Juris Doctorate from an accredited law institution and a minimum of five (5) years of relevant corporate and commercial experience within an international corporation.
• Extensive experience in drafting, negotiating, and successfully executing complex corporate and commercial transactions.
• Strong and concise communication skills.
• Ability to thrive in a fast-paced environment, meet stringent deadlines, and make informed decisions.
• Familiarity with specialized topics that arise in transactional matters, including securities laws, taxation, intellectual property, antitrust, employment, data privacy, regulatory issues, and technology.
• Exceptional interpersonal, strategic thinking, communication, and organizational abilities.
• Proactive and positive leadership style that adopts a holistic approach and addresses potential issues proactively.
• Proven ability to excel in cross-functional teams by breaking down barriers, ensuring consistent information flow, building trust, and fostering strong relationships.
Additional Skills and Preferences:
• Familiarity with the animal health or crop science sectors or prior experience in pharmaceuticals, biotechnology, or medical devices.
