Transaction Assurance Manager

About the Role:

Siemens Healthineers AG is seeking a highly skilled and experienced Transaction Assurance Manager to join our global team. As a key member of our Transaction Assurance department, you will play a critical role in supporting the financial workstream in large and complex M&A projects globally and contribute to our company's growth strategy.

Key Responsibilities:

  • Provide focused financial advice to our managing board by taking ownership of financial due diligence and valuation services.

  • Advising on and negotiating relevant contract clauses related to purchase price adjustment mechanisms and closing balance sheet provisions with target companies' management/advisors.

  • Assist in the preparation and analysis of business plans and profitability calculations.

  • Regularly collaborate with different internal stakeholders to ensure all impacts and risks to the target's financials are assessed.

  • Build and maintain trusted working relationships with other parts of our company globally to establish the department as a trusted advisor.

  • Promote and drive digitalization within the Transaction Assurance department.

  • Manage and direct external financial advisors on a project-by-project basis, if required.

  • Take the opportunity to work on other challenging engagements within the Assurance team to fill gaps in experience, increase knowledge of our company, and build an executive network, preparing for the next career step.

Requirements:

  • Show above-average academic history and career progression.

  • Hold a university degree (Master or PhD) in Business Administration, Finance, Accounting, or equivalent.

  • Have many years of professional experience as an M&A/Financial Due Diligence advisor or relevant experience in Controlling, Private Equity, or Investment Banking.

  • Bring detailed knowledge and understanding of M&A contracts and purchase price mechanisms and experience in defining these with legal advisors.

  • Have good knowledge of IFRS; CPA, ACCA, ACA, CFA qualification is an advantage.

  • Have worked in an international business setting and have experience with and passion for working in diverse teams demonstrating strong intercultural sensitivity.
