Your tasks
- Bearbeitung rechtlicher Fragestellungen und Beratung in rechtlichen Angelegenheiten aller Konzerngesellschaften weltweit im Zusammenhang mit dem Erwerb und der Veräußerung von Unternehmen oder Unternehmensteilen sowie mit der Gründung und Auflösung von Gemeinschaftsunternehmen (Joint Ventures)
- Beratung bei der Gestaltung der Transaktionsstruktur
- Entwerfen, Prüfen und Verhandeln von Verträgen aller Art im Zusammenhang mit dem Erwerbs
- und Veräußerungsprozess
- Durchführung oder Koordinierung der Legal Due Diligence
- Beratung zu transaktionsrelevanten Regularien (z.B. Fusionskontrolle, Investitionsrestriktionen)
- Auswahl, Leitung von und Zusammenarbeit mit externen Anwälten
- Beratung bei Post-Closing Angelegenheiten
**Profile**:
- Abgeschlossenes volljuristisches Studium möglichst mit Auslandsstudium
- Mehrjährige Berufserfahrung in einer Kanzlei und/oder in einem international tätigen Unternehmen und vorzugsweise Berufserfahrung mit Mergers & Acquisitions (Wirtschaftsrecht, Gesellschaftsrecht, Vertragsgestaltung)
- Sehr gutes wirtschaftliches Verständnis
- Verhandlungssichere Deutsch
- und Englischkenntnisse in Wort und Schrift
- Eigenständige Arbeitsweise
- Teamfähigkeit und Mobilität
- Sehr gute Kommunikationsfähigkeiten
- Reisebereitschaft (25 %, international)
