As the Head of Chairman’s Office, you will lead the newly established Chairman’s Office, having a fundamental role in supporting and facilitating the effective functioning of the Supervisory Board within the organization, ensuring compliance with legal and governance requirements. You will be responsible for strategic matters and support the oversight, decision-making, and governance functions of the Supervisory Board. You will play a pivotal role in advising the Chairman of the Supervisory Board on how to most impactfully increase the effectiveness of the Supervisory Board members and their respective initiatives, both inside and outside the board room. You will be responsible for ensuring that there is effective communication between the Supervisory Board, the Management Board, and stakeholders, acting as a sounding board for the Supervisory Board. In this position you will report into?

**Your Assignments**
- Provides professional support to the Supervisory Board, its chairman, and committees in all matters within their responsibilities.
- Promotes strong Corporate Governance in line with international requirements and provides the Chairman of the Supervisory Board and Supervisory Board members accurate and timely counsel in a variety of legal topics (Corporate Governance, Regulatory Compliance, ESG regulations, etc.) Collaborate with the Management Board and Executive to drive transparency and devise efficient strategies for critical topics.
- Advise Supervisory Board members on both internal governance policies, external regulatory issues/topics including German Corporate Law complexities.
- Coordinate the interface with employee representatives of the Supervisory Board.
- Research and evaluate different risk factors regarding business decisions and operations.
- Manage the preparation and review of legal documents related to the Supervisory Board's activities in collaboration with respective departments.
- Deal with complex matters with multiple Executive level stakeholders.
- Manage reporting between the Chair of the Supervisory Board and various Supervisory Board committees.
- Provide clarification on legal language or specifications to Supervisory Board members as needed.
- Maintain current knowledge of alterations in international and German legislation.
- Develop and implement processes and procedures to enhance the efficiency and effectiveness of the Chairman’s Office's operations.
- Advise on and manage contractual and compensation-related matters of the members of the Management Board of FME, including drafting international contracts and coordinating with relevant stakeholders both internally and externally.
- Review Supervisory Board Requests to ensure legality and alignment with Supervisory Board expectations.
- Oversee sensitive special projects for the Supervisory Board, including the coordination and management of external advisors and third parties. Conduct research and analysis to guide decision-making processes. Maintain a high level of confidentiality and professionalism in handling sensitive information. Always acting impartially, approach tasks responsibly and with integrity. This includes acting in the best interests of the organization overall without bias for any individual or group.
- Lead and collaborate with one direct report (Project Manager).

**Your Profile**
- University degree and fully licensed attorney (German Bar) credentials required. Advanced degree including but not limited to LLM, MBA and/or PhD desirable.
- Comprehensive and profound work experience including experience in an in-house Corporate Legal or Compliance role with a German based company highly preferred.
- Expertise in German and European corporate law in a global environment (law firm or inhouse).
- Prior experience providing direct support to Chairman, CEO, Management Board and/or Supervisory Board highly desirable.
- Proficiency in HR-related matters, particularly senior executive compensation desirable.
- Strong knowledge of legal regulations and filing requirements for Executive Compensation.
- Willingness to work from our Bad Homburg Headquarters 3 days per week as well as to travel globally.
- You have experience in working with employee representative bodies (trade unions/works councils).
- You have strong communication and negotiation skills.
- Fluent negotiation and communication skills in German and English.

- Communicates Effectively: Develops and delivers multi-mode communications that convey a clear understanding of the unique needs of different audiences.
